Terms of Service
The contract between Saundarya Roof Private Limited and every person or organisation that uses Abhay.
1. Definitions
- Company / we / us / ourSaundarya Roof Private Limited, a private limited company incorporated under the Companies Act, 2013, having CIN U63119ME2026PTC474233 and its registered office at H.No. 598, Main Road, Adarsh Nagar, Lakhni, Bhandara — 441804, Maharashtra, India.
- ServiceThe Abhay software platform, including its web application, progressive web app, ADMS receiver endpoints, dashboards for superadmins, wardens, parents, students and staff, push-notification system, and any related APIs or device integrations.
- WorkspaceA multi-tenant unit inside the Service, owned and operated by a Workspace Owner, into which the Workspace Owner enrols hostels, students, wardens, parents, devices and other end users.
- Workspace OwnerThe natural person or legal entity (typically a hostel proprietor, college administrator, factory operator or office manager) who creates and pays for a Workspace and who is responsible for the Workspace's contents and end users.
- End UserAny person who uses the Service in a non-owner role — wardens, parents, guardians, students and staff invited into a Workspace by its Workspace Owner.
- DataAll information processed through the Service, including identity data, biometric templates, attendance/punch records, leave records, photos, messages and metadata.
2. Acceptance of these Terms
By accessing or using the Service in any capacity, you confirm that you have read, understood and agreed to be bound by these Terms of Service together with the Privacy Policy, Refund & Cancellation Policy, and any commercial agreement executed between you and the Company. If you do not agree, you must stop using the Service.
Where you accept these Terms on behalf of an organisation (for example, a hostel), you represent that you are authorised to do so and that the organisation is bound by these Terms.
3. The Service
Abhay is a software-as-a-service platform that helps Workspace Owners track student or member attendance, manage leave requests, send safety alerts to parents/guardians, and supervise hostel or facility access using compatible biometric devices (currently ZKTeco K40 Pro and similar ADMS-compatible terminals).
What the Service is not: Abhay is a software tool. It is not a security guard, not a physical-access enforcement system, not a monitoring company, and not a substitute for a licensed hostel warden or supervisor. The Service surfaces information; humans at the Workspace Owner make and enforce decisions. Physical safety, statutory licensing and disciplinary action remain the responsibility of the Workspace Owner.
4. Accounts and roles
The Service supports the following roles, each with its own permissions:
- Superadmin — the Workspace Owner; full administrative control over the Workspace.
- Warden / Admin — staff invited by the Workspace Owner to operate the Workspace day-to-day.
- Parent / Guardian — an adult linked to one or more enrolled students; receives alerts and may file leave requests.
- Student — an enrolled resident or member; may view their own records.
- Staff — non-student personnel (for office, factory and college verticals).
You are responsible for: keeping your password confidential; not sharing your account with anyone; signing out from shared devices; informing the Company promptly at helpdesk@saundaryaroof.homes if you suspect unauthorised use of your account.
The Workspace Owner is responsible for promptly removing accounts of wardens, staff or other end users who leave their organisation.
5. Workspace Owner obligations
Each Workspace Owner additionally agrees that they will:
- Hold a valid licence, registration or other approval required by local law to operate the hostel, office, college or facility being managed through the Service.
- Obtain written, informed consent — from the student where the student is an adult, and from the student's parent or legal guardian where the student is a minor — before enrolling that person's biometric data (fingerprint), photograph, phone number, address or other personal data into the Service.
- Display visible notice at the premises that biometric attendance is in use and that data is processed through Abhay, in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act") and any state-level rules on CCTV or biometric monitoring.
- Provide a copy of the Privacy Policy to every parent, guardian, student and staff member being enrolled, in a language they understand, before collecting their data.
- Comply with the Juvenile Justice (Care and Protection of Children) Act, 2015 and any applicable hostel-licensing rules in their state.
- Ensure that biometric devices installed on their premises are kept physically secure and that the device administrator password is not shared with unauthorised persons.
6. Fees and billing
Fees, billing cadence, applicable taxes and any volume terms are governed by the separate written or electronic agreement between the Company and the Workspace Owner. No prices are stated in these Terms. Invoices reflect the commercials agreed in that separate agreement. Goods and Services Tax (GST) and any other statutory levies are charged in addition to the agreed fees where applicable.
The Service is paid from the day a Workspace is activated. There is no free trial unless one is granted in writing in the separate commercial agreement.
7. Acceptable use
You agree that you will not, and will not permit any End User to:
- Reverse engineer, decompile, disassemble or attempt to derive the source code of the Service.
- Scrape, crawl, harvest or systematically extract data from the Service except through interfaces expressly provided for that purpose.
- Share a single account across multiple individuals, or use the Service across multiple hostels or facilities under a single Workspace if those facilities are owned or operated by different entities.
- Use the Service to harass, stalk, intimidate or surveil any person beyond the legitimate operational purposes of the Workspace.
- Upload viruses, malware, or content that infringes any third party's rights or violates Indian law.
- Resell, sublicense or otherwise make the Service available to any third party without the Company's prior written consent.
8. Service availability
The Company will use commercially reasonable efforts to keep the Service available on a 24×7 basis, with a target uptime of 99% measured monthly excluding scheduled maintenance, force-majeure events and downtime caused by third-party providers (Supabase, Cloudflare, Resend, telecommunication networks, ISPs, push-notification providers and the like). No service-level credits are offered for downtime under this version of the Terms.
9. Suspension and termination
The Company may suspend or terminate any account or Workspace, with reasonable notice where practical, for any of the following reasons:
- Non-payment of fees that remain outstanding for more than 15 days after the due date.
- Material breach of these Terms, the Acceptable Use clause, or the Privacy Policy.
- Activity that the Company reasonably believes is illegal, fraudulent, or harmful to other users or to the Service.
- An order or direction from a competent court, regulator or government authority.
A Workspace Owner may terminate their Workspace at any time by writing to helpdesk@saundaryaroof.homes from their registered email. On termination, the data export and retention rules set out in the Privacy Policy apply.
10. Data ownership
The Workspace Owner owns the data uploaded to their Workspace. The Company processes that data only to provide the Service and as described in the Privacy Policy. The Company does not sell Workspace data and does not use it to train any machine-learning model intended for use outside the Workspace.
11. Intellectual property
All software, designs, logos, documentation, APIs and other material making up the Service are and remain the exclusive property of the Company. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during the period in which you have an active account.
12. Limitation of liability
To the maximum extent permitted by applicable law, the Company's aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort or otherwise, is limited to the total fees actually paid by the Workspace Owner to the Company in the three (3) calendar months immediately preceding the event giving rise to the claim.
The Company is not liable for: (i) any incident occurring on the Workspace Owner's physical premises, including theft, injury, abduction, assault, fire, structural failure or accident; (ii) the actions, omissions or negligence of any warden, security guard, parent, student, staff member or other person; (iii) loss of data caused by the Workspace Owner's own mis-configuration, account compromise or failure to follow the documentation; (iv) outages or failures of third-party services on which the Service depends, including telecommunications, electricity supply, the K40 device firmware, Supabase, Cloudflare, Resend or push-notification providers; or (v) indirect, incidental, special, consequential, exemplary or punitive damages of any kind.
13. Indemnity
The Workspace Owner agrees to defend, indemnify and hold the Company harmless from and against all claims, damages, fines, penalties and reasonable legal fees arising from: (i) the Workspace Owner's failure to obtain valid consent before enrolling biometric, identity or photo data into the Service; (ii) the Workspace Owner's breach of these Terms or of any applicable law; or (iii) any dispute between the Workspace Owner and an End User of its Workspace.
14. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of India. Subject to the dispute-resolution provision below, the competent civil courts at Bhandara, Maharashtra have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
Before commencing any legal proceeding, the parties will attempt to resolve the dispute in good faith by written notice and discussion for a period of at least thirty (30) days.
15. Changes to these Terms
The Company may amend these Terms from time to time. Material changes will be notified to the Workspace Owner by email at least thirty (30) days before they take effect. Continued use of the Service after the effective date of the change constitutes acceptance of the revised Terms.
